This is the English version of a bilingual regulation.

1. (1) A declaration, a declaration of change and a declaration of dissolution or withdrawal shall be in a form provided or approved by the Minister of Consumer and Commercial Relations.  O. Reg. 11/91, s. 1 (1).

(2) If a declaration is filed on or after April 1, 1994, the business identification number assigned by the Registrar to the declaration must be set out on a declaration of change, a declaration of dissolution or withdrawal or a new declaration filed under subsection 3 (3), 19 (1) or 25 (5) of the Act.  O. Reg. 176/94, s. 1.

(3) If a declaration was filed before April 1, 1994, the business identification number assigned by the Registrar to the first new declaration filed on or after that date must be set out on a declaration of change, a declaration of dissolution or withdrawal or on any subsequent new declaration.  O. Reg. 176/94, s. 1.

(4) A power of attorney shall be in Form 4.  R.R.O. 1990, Reg. 713, s. 1 (4).

(5) A declaration filed in respect of a limited partnership shall set out the firm name of the partnership with only one space between each word.  O. Reg. 250/05, s. 1.

1.1 A declaration filed under subsection 3 (2) or 25 (1) of the Act shall set out the following information:

1.  The firm name under which the limited partnership is to be conducted.

2.  The general nature of the business of the limited partnership.

3.  For each general partner who is an individual, the partner’s name in full and the partner’s residential address or address for service, including municipality, street and number, if any, and postal code.

4.  For each general partner that is not an individual, the partner’s name and address or address for service, including the municipality, street and number, if any, and postal code, and the partner’s Ontario corporation number, if any.

5.  The address of the limited partnership’s principal place of business in Ontario, including municipality, street and number, if any, and postal code, and the mailing address of the limited partnership. 

6.  An indication that there is a power of attorney, in the case of an extra-provincial limited partnership.

7.  For the attorney of an extra-provincial limited partnership who is an individual, the attorney’s name in full and the attorney’s residential address or address for service, including the municipality, street and number, if any, and postal code.

8.  For the attorney of an extra-provincial limited partnership that is not an individual, the attorney’s name and address or address for service including municipality, street and number, if any, and postal code, and the attorney’s Ontario corporation number, if any.  O. Reg. 11/91, s. 2; O. Reg. 629/93, s. 1; O. 2. The information required to be set out in a form mentioned in section 1 shall be clearly, neatly and legibly typewritten or printed on the form in a manner suitable for photographing on microfilm and the form shall not be folded or otherwise damaged.  R.R.O. 1990, Reg. 713, s. 2.

3. All declarations and other forms under the Act shall be filed in the central registry established in the office of the Registrar.  R.R.O. 1990, Reg. 713, s. 3.

4. A record of limited partners required by subsection 4 (1) or 26 (1) of the Act shall set out the following information for each limited partner:

1.  If the partner is an individual, the partner’s name in full and the partner’s residential address or address for service, including the municipality, street and number, if any, and postal code.

2.  If the partner is not an individual, the partner’s name and address or address for service, including municipality, street and number, if any, and postal code, and the partner’s Ontario corporation number, if any.

3.  The amount of money and the value of other property contributed or to be contributed by the partner to the limited partnership.  O. Reg. 11/91, s. 2; O. Reg. 433/17, s. 2.
