COMPOSITION OF FIRST BOARD AND TRANSITION

Historical version for the period April 6, 2018 to April 8, 2018.

Note: THIS REGULATION IS NOT YET IN FORCE. It comes into force on April 9, 2018, the day section 19 of the Act comes into force.

Composition of first board

1. (1) The first board shall be composed of,

(a) the external members set out under subsection (3);

(b) any internal members appointed or elected in a manner described in subparagraph 1 ii, iii, iv or v of subsection 9 (1) of the Act;

(c) if a chancellor of the University is appointed under section 30 of the Act, the chancellor; and

(d) if a president of the University is appointed under section 31 of the Act, the president.

(2) The members of the first board referred to in clause (1) (a) are deemed to be external members for the purposes of the Act, as though they were appointed under subparagraphs 2 ii and iii of subsection 9 (1) of the Act.

(3) The following persons are appointed as external members of the first board:

1. Jean Michel Beck of Toronto.

2. Jacques Naud of Toronto.

3. Marie-Andrée Vermette of Toronto.

4. Dr. Dyane Adam, of Saint-François-de-l’Île-d’Orléans, Québec.

5. Normand Côté of Toronto.

6. Dr. Frédéric Dimanche of Toronto.

7. Dr. Marième Lo of Toronto.

8. Glenn O'Farrell of Toronto.

9. Rodrigue Gilbert of Markham.

10. Koubra Haggar of Hamilton.

11. Fété Kimpiobi of Welland.

12. Florence Ngenzebuhoro of Oakville.

Appointment of chancellor by first board

2. Subsections 30 (2), (3) and (4) of the Act do not apply to the appointment of a chancellor by the first board.

Vacancies on first board

3. (1) If the seat of a member of the first board appointed under subsection 1 (3) becomes vacant, the vacancy may only be filled by the Minister pursuant to clause 19 (1) (b) of the Act.

(2) If a chancellor or president is a member of the first board, any vacancy in that person’s seat shall be filled in accordance with the Act.

(3) If the seat of an internal member of the first board referred to in clause 1 (1) (b) becomes vacant, the vacancy shall be filled in accordance with the following rules:

1. A vacancy of a person appointed by the president of the University must be filled by another such appointment, as described in subparagraph 1 ii of subsection 9 (1) of the Act.

2. A vacancy of a member of the teaching staff must be filled by another member of the teaching staff, as described in subparagraph 1 iii of subsection 9 (1) of the Act.

3. A vacancy of a student must be filled by another student, as described in subparagraph 1 iv of subsection 9 (1) of the Act.

4. A vacancy of a non-teaching employee must be filled by another non-teaching employee, as described in subparagraph 1 v of subsection 9 (1) of the Act.

Transition

4. (1) The first board shall become the board constituted under section 9 of the Act on the first day that,

(a) at least one member of the board is a person referred to in clause 1 (1) (b), (c) or (d); and

(b) a resolution has been adopted by the board declaring that all necessary by-laws have been passed to enable the self-governance of the board.

(2) On the day referred to in subsection (1), the following rules apply with respect to the members of the board appointed under subsection 1 (3):

1. The persons referred to in paragraphs 1 to 3 of subsection 1 (3) are deemed to be members of the board appointed by the Lieutenant Governor in Council under subparagraph 2 ii of subsection 9 (1) of the Act for a term of three years that is deemed to have started on the day section 19 of the Act came into force.

2. The persons referred to in paragraphs 4 to 8 of subsection 1 (3) are deemed to be members of the board appointed by the board under subparagraph 2 iii of subsection 9 (1) of the Act for a term of three years that is deemed to have started on the day section 19 of the Act came into force.

3. The persons referred to in paragraphs 9 to 12 of subsection 1 (3) are deemed to be members of the board appointed by the board under subparagraph 2 iii of subsection 9 (1) of the Act for a term of two years that is deemed to have started on the day section 19 of the Act came into force.

December 31, 2018

5. If the first board does not become the board constituted under section 9 of the Act before December 31, 2018,

(a) the appointments made under subsection 1 (3) are terminated on December 31, 2018; and

(b) the powers of the first board may be exercised by the president of the University and if there is no president, by the Minister or the Minister’s designate.

6. Omitted (provides for coming into force of provisions of this Regulation).
