Centennial Centre of Science and Technology Act

Definitions
1. In this Act,
“Board” means the Board of Trustees of the Centre; (“conseil”)
“Centre” means The Centennial Centre of Science and Technology; (“Centre”)
“Minister” means the Minister of Culture and Communications. (“ministre”) R.S.O. 1990, c. C.5, s. 1.
Centre continued
2. (1) The corporation without share capital known as The Centennial Centre of Science and Technology is continued under the name The Centennial Centre of Science and Technology in English and Centre Centennial des sciences et de la technologie in French, and shall consist of not fewer than sixteen and not more than twenty-six trustees. R.S.O. 1990, c. C.5, s. 2 (1).
Seal
(2) The centre shall have a seal, which shall be adopted by the Board by by-law. R.S.O. 1990, c. C.5, s. 2 (2).
Fiscal year
(3) The fiscal year of the Centre commences on the 1st day of April in each year and ends on the 31st day of March in the following year. R.S.O. 1990, c. C.5, s. 2 (3).
Corporations Act not to apply
(4) The Corporations Act does not apply to the Centre. R.S.O. 1990, c. C.5, s. 2 (4).
Regulation re: Corporations Act
(5) Despite subsection (4), the Lieutenant Governor in Council may by regulation provide that any part or parts of sections 23, 274 and 275 of the Corporations Act apply to the Centre. 1993, c. 16, s. 4 (1).
Appointment of trustees
3. (1) The Lieutenant Governor in Council shall appoint the trustees of the Centre who shall be its Board of Trustees, and shall designate one of them as chair and another as vice-chair of the Board. R.S.O. 1990, c. C.5, s. 3 (1).
Term
(2) A trustee may be appointed for a term not exceeding three years, but may be reappointed for one or more further terms. R.S.O. 1990, c. C.5, s. 3 (2).
Remuneration
(3) The Centre may pay those of its trustees who are not officers in the public service of Ontario such remuneration and expense allowances as are from time to time fixed by the Lieutenant Governor in Council. R.S.O. 1990, c. C.5, s. 3 (3).
Quorum
(4) A majority of the trustees for the time being constitutes a quorum. R.S.O. 1990, c. C.5, s. 3 (4).
By-laws
(5) Subject to the approval of the Minister, the Board may make by-laws necessary or incidental to carrying out the objects of the Centre and for the conduct and management of its affairs, including establishing and collecting fees. 1993, c. 16, s. 4 (2).
Delegation to committees
(6) A by-law establishing a committee of the Board may delegate to the committee such powers and duties of the Board as are determined in the by-law. R.S.O. 1990, c. C.5, s. 3 (6).
Powers of Board
4. (1) The affairs of the Centre shall be under the control of the Board, and the Board has all the powers necessary or convenient to perform its duties or achieve the objects of the Centre. R.S.O. 1990, c. C.5, s. 4 (1).
Responsible to Minister
(2) The Board is responsible to the Minister. R.S.O. 1990, c. C.5, s. 4 (2).
Chair
(3) The chair shall preside at all meetings of the Board, and, in his or her absence or if the chair is vacant, the vice-chair has all the powers and shall perform the duties of the chair. R.S.O. 1990, c. C.5, s. 4 (3).
Employees
5. (1) A Director General of the Centre may be appointed under the Public Service Act and such other employees as are considered necessary from time to time for the proper conduct of the business of the Centre. R.S.O. 1990, c. C.5, s. 5 (1); 1993, c. 27, Sched.
Duties of Director General
(2) The Director General of the Centre shall have the management and administration of the Centre, subject to the supervision and direction of the Board. R.S.O. 1990, c. C.5, s. 5 (2).
Objects
6. The objects of the Centre are,
(a) to depict to the public and to conduct a program of education in the origins, development and progress of science and technology, and their relationship to society;
(b) to depict the role of Ontario in the furtherance of science and technology;
(c) to stimulate the interest of the public in matters depicted by the Centre;
(d) to collect, manufacture, market, exhibit and sell objects and displays; and
(e) to maintain and operate a science centre and related facilities for the furtherance of the objects set out in clauses (a) to (d) and to provide consulting services in relation to all the matters set out in this section. R.S.O. 1990, c. C.5, s. 6; 1993, c. 16, s. 4 (3).
Income
7. (1) In addition to the money appropriated for the purposes of the Centre by the Legislature, the Centre may retain its income. 1993, c. 16, s. 4 (4).
Same
(1.1) The income of the Centre shall be applied to carrying out its objects. 1993, c. 16, s. 4 (4).
Idem
(2) The Board may acquire money, securities or other property, real or personal, by gift, devise, bequest or otherwise, and may expend, administer or dispose of any such money, securities or other property in the promotion of its objects, subject to the terms, if any, upon which such money, securities or other property were given, devised, bequeathed, or otherwise made payable to the Board or to the Centre. R.S.O. 1990, c. C.5, s. 7 (2).
Payments to Consolidated Revenue Fund
(3) When ordered to do so by the Minister of Finance, the Centre shall pay into the Consolidated Revenue Fund such of its surplus funds as are determined by the Minister of Finance. 1993, c. 16, s. 4 (5).
Reserves
(4) In determining the amount payable under subsection (3), the Minister of Finance shall allow such reserves for the future needs of the Centre as he or she considers appropriate, and shall ensure that the payment ordered under subsection (3) will not impair the Centre’s ability to pay its liabilities, to meet its obligations as they become due or to fulfil its contractual commitments. 1993, c. 16, s. 4 (5).
Revenues and investments
(5) Despite the Financial Administration Act, the revenues and investments of the Centre do not form part of the Consolidated Revenue Fund. 1993, c. 16, s. 4 (5).
Expenditure plan
(6) The Centre shall, before the 1st day of January in each year, submit to the Minister and to Treasury Board an expenditure plan detailing the Centre’s operating and capital budget for its coming fiscal year, and shall implement the plan as approved or varied by Treasury Board. 1993, c. 16, s. 4 (5).
Exemption from taxation
8. The real and personal property, business and income of the Centre are exempt from all assessment and taxation made, imposed or levied by or under the authority of any Act of the Legislature. R.S.O. 1990, c. C.5, s. 8.
Audit
9. The accounts and financial transactions of the Centre shall be audited annually by the Provincial Auditor, and a report of the audit shall be made to the Board and to the Minister. R.S.O. 1990, c. C.5, s. 9.
Report
10. The Board shall make a report annually to the Minister upon the affairs of the Centre, and the Minister shall submit the report to the Lieutenant Governor in Council and shall then lay the report before the Assembly if it is in session or, if not, at the next session. R.S.O. 1990, c. C.5, s. 10.
Regulations
11. The Lieutenant Governor in Council may make regulations establishing and governing endowment funds in furtherance of the objects of the Centre. 1993, c. 16, s. 4 (6).
