An Act respecting The East York Foundation

Assented to June 1, 2017

Preamble

The Board of Directors of The East York Foundation has applied for special legislation to amend the composition of the Foundation’s nominating committee and to repeal the annual audit requirements.  The Foundation was established by private legislation, The East York Foundation Act, 1965, and was amended by private legislation, The East York Foundation Act, 1973.

It is appropriate to grant the application.

Therefore, Her Majesty, by and with the advice and consent of the Legislative Assembly of the Province of Ontario, enacts as follows:

1 Section 3 of The East York Foundation Act, 1965, as amended by section 1 of The East York Foundation Act, 1973, is repealed and the following substituted:

Board of Directors

3 (1) The Foundation shall be composed of the members for the time being of the Board of Directors of the Foundation, referred to in this Act as the Board.

Composition

(2) The Board shall be composed of 10 persons, all of whom shall be residents of the area known on January 1, 1974 as the Borough of East York, recommended by the nominating committee and appointed by the Board.

Vacancy

(3) Subject to subsection 4 (5), a vacancy occurring in the membership of the Board for any reason shall be filled by the Board on the recommendation of the nominating committee.

Term of office

(4) Members of the Board shall serve for a term of three years.

Same

(5) A person appointed to fill a vacancy occurring in the membership of the Board for any reason other than the expiration of a term of office shall serve for the remaining portion of the term of office of the person he or she is replacing.

Remuneration

(6) Members of the Board shall serve without remuneration.

2 Section 4 of the Act, as amended by section 2 of The East York Foundation Act, 1973, is repealed and the following substituted:

Nominating committee

4 (1) The nominating committee shall be composed of the following persons:

1. The chair of the Board.

2. One member of the Board, appointed by the Board.

3. One person appointed by the Mayor of the City of Toronto.

Meetings

(2) The nominating committee shall meet whenever it is necessary to fill a vacancy in the Board, which must be at least annually, upon the call of the secretary of the Board or, if there is no secretary of the Board, upon the call of the chair of the nominating committee.

Rules

(3) The nominating committee may make rules governing its procedure, including the appointment of a chair, as it deems advisable.

Quorum

(4) Two members of the nominating committee present in person constitute a quorum to conduct any meeting of the committee, and a majority vote of all the members of the committee is required for the recommendation of a person to be appointed to the Board.

Failure of committee to recommend appointee

(5) If the nominating committee fails to recommend a person to fill a vacancy in the membership of the Board within 60 days after the vacancy occurs, the remaining members of the Board may appoint any person to fill the vacancy.

Continuation of present committee

(6) The members of the nominating committee in office immediately before the East York Foundation Act, 2017 comes into force are continued in office until the nominating committee is constituted in accordance with subsection (1).

3 Section 10 of the Act is repealed.

Commencement

4 This Act comes into force on the day it receives Royal Assent.

Short title

5 The short title of this Act is the East York Foundation Act, 2017.
