On the recommendation of the undersigned, the Lieutenant Governor of Ontario, by and with the advice and concurrence of the Executive Council of Ontario, orders that:

Whereas, in Order in Council number 1228/2001 and pursuant to subsection 176(3) of the Mining Act, R.S.O. 1990, Chap. M. 14 (the “Mining Act”), the Minister of Northern Development and Mines (as he then was) was given approval to issue to Sifto Canada Inc. a lease of certain mining rights for a 21-year term, subject to further renewal periods of 21 years each provided the productive mine life had not been exhausted and subject to such other terms and conditions as the Minister of Northern Development and Mines considered appropriate;

And whereas the said mining lease was issued on November 9, 2001 as Mining Lease 107377 (the “Lease”);

And whereas the Lease contained, among other things, a provision which, if certain preconditions are met, provides for a renewal of one further term of 21 years, at such rental and royalty charges and subject to such reservations, provisions, and conditions as the Lessor considers expedient;

And whereas Compass Minerals Canada Corp. (“Compass”), being the successor by amalgamation to Sifto Canada Inc., has applied for the renewal of the Lease and the Minister of Mines (the “Minister”) is satisfied that all preconditions to renewal have been met;

And whereas the Minister wishes to issue a renewed lease containing, among other things, a provision allowing potential additional renewals by the Minister for periods of 21 years each, provided that the productive mine life has not been exhausted and other preconditions are met, in keeping with the original intention of Order in Council number 1228/2001;

Now therefore, pursuant to subsection 176(3) of the Mining Act and pursuant also to the terms of the Lease, the Minister is given approval to issue to Compass a lease of mining rights only for a period of 21 years, renewing and replacing the Lease, substantially on the terms and conditions presented to the Lieutenant Governor in Council, with such minor alterations, additions, amendments and deletions as the Minister considers appropriate.
