Notice of Default in Complying with the Corporations Tax Act

The Director has been notified by the Minister of Finance that the following corporations are in default in complying with the Corporations Tax Act.

Notice Is Hereby Given under subsection 241(1) of the Business Corporations Act, that unless the corporations listed hereunder comply with the requirements of the Corporations Tax Act within 90 days of this notice, orders will be made dissolving the defaulting corporations. Amendments To Form 51-102F6 Statement Of Executive Compensation And Consequential Amendments

Consequential Amendments

On October 31, 2011, amendments to Form 51-102F6 Statement of Executive Compensation (Form 51-102F6) and consequential amendments to the following rule and forms came into force under the Securities Act:

• National Instrument 51-102 Continuous Disclosure Obligations;
• Form 58-101F1 Corporate Governance Disclosure;
• Form 58-101F2 Corporate Governance Disclosure (Venture Issuers).

The amendments to Form 51-102F6 range from drafting changes to clarify existing disclosure requirements to new substantive disclosure requirements including requiring additional disclosure regarding the qualifications of the compensation committee, the consideration of risks associated with the company’s compensation practices and fees paid to compensation consultants.

The consequential amendments clarify the drafting amendments made to Form 51-102F6 and explain that companies may incorporate disclosure regarding compensation practices by reference to the information required to be included under section 2.4 of Form 51-102F6.
