Notice of Default in Complying with the Corporations Tax Act

The Director has been notified by the Minister of Finance that the following corporations are in default in complying with the Corporations Tax Act.

Notice Is Hereby Given under subsection 241(1) of the Business Corporations Act, that unless the corporations listed hereunder comply with the requirements of the Corporations Tax Act within 90 days of this notice, orders will be made dissolving the defaulting corporations. All enquiries concerning this notice are to be directed to Ministry of Finance, Corporations Tax, 33 King Street West, Oshawa, Ontario L1H 8H6.

Cancellation of Certificate of Incorporation (Corporations Tax Act Defaulters)

Notice Is Hereby Given that, under subsection 241(4) of the Business Corporations Act, the Certificate of Incorporation of the corporations named hereunder have been cancelled by an Order for default in complying with the provisions of the Corporations Tax Act, and the said corporations have been dissolved on that date.

Amendments To National Instrument 41-101

General Prospectus Requirements

On May 31, 2013, the following amendments came into force under the Securities Act (Ontario):

• amendments to National Instrument 41-101 General Prospectus Requirements, including:
  • Form 41-101F2 Information Required in an Investment Fund Prospectus; and
  • the enactment of a new Form 41-101F3 Information Required in a Scholarship Plan Prospectus.

The amendments, among other things:

• create a new prospectus disclosure form tailored to scholarship plans which focuses on providing investors with key information about a scholarship plan in a simple, accessible, and comparable format;
• require, as part of the new prospectus form, inclusion of the Plan Summary document, a plain language, summary document of not more than four pages, which highlights the potential benefits, risks and costs of investing in a scholarship plan; and
• enhance transparency in the marketplace by requiring scholarship plans to provide improved disclosure about how scholarship plans operate, including their key features and risks.

On the recommendation of the undersigned, the Lieutenant Governor, by and with the advice and concurrence of the Executive Council, orders that:

Order in Council

Whereas subsection 2(2) of the Executive Council Act, R.S.O 1990, Chapter E.25, provides that the Lieutenant Governor may by order in council prescribe the duties of the ministers of the Crown and the duties of any ministries over which they preside;

And Whereas subsection 5(1) of the Executive Council Act provides that any of the powers and duties that have been assigned by law to any minister of the Crown may from time to time by order in council be assigned and transferred for a limited period or otherwise to any other minister by name or otherwise;

And Whereas subsection 8(1) of the Executive Council Act provides that the authority of the Lieutenant Governor under this Act to prescribe duties of a minister of the Crown or to assign and transfer powers and duties that have been assigned by law to a minister of the Crown to any other minister includes authority, by order in council, to assign responsibility for the administration of an Act or a part of an Act to a minister of the Crown;

Therefore, pursuant to subsections 2(2), 5(1) and 8(1) of the Executive Council Act, despite any provision of a statute or Order in Council, the administration of each statute listed in Column 2 of the Schedule to this Order is hereby assigned to the Minister listed opposite that statute in Column 3 of the Schedule;

AND that the appendix to each Order in Council cited in Column 4 of the Schedule is hereby revised by adding to it the statute listed opposite the cited Order in Column 2 of the Schedule.

Order in Council

Pursuant to subsections 2(2), 5(1) and 8(1) of the Executive Council Act, R.S.O 1990, c. E.25, and despite any provision of a statute or Order in Council, the responsibility for the administration of the Ontarians with Disabilities Act, 2001, S.O. 2001, c. 32, is hereby assigned and transferred from the Minister of Community and Social Services to the Minister of Economic Development, Trade and Employment;

Further, Order in Council O.C. 684/2013, dated May 15, 2013 and Order in Council O.C. 1479/2005, as amended, dated September 21, 2005, are hereby amended and shall be interpreted accordingly.
