Notice of Default in Complying with the Corporations Tax Act

The Director has been notified by the Minister of Finance that the following corporations are in default in complying with the Corporations Tax Act.

Notice Is Hereby Given under subsection 241(1) of the Business Corporations Act, that unless the corporations listed hereunder comply with the requirements of the Corporations Tax Act within 90 days of this notice, orders will be made dissolving the defaulting corporations. On August 13, 2013, amendments to the following rules came into force under the Securities Act:

  • National Instrument 41-101 General Prospectus Requirements,
  • National Instrument 44-101 Short Form Prospectus Distributions,
  • National Instrument 44-102 Shelf Distributions, and
  • National Instrument 44-103 Post-Receipt Pricing.

National Instrument 41-101 General Prospectus Requirements provides a comprehensive set of prospectus requirements for issuers other than mutual funds. National Instrument 44-101 Short Form Prospectus Distributions sets out requirements for an issuer intending to file a prospectus in the form of a short form prospectus. National Instrument 44-102 Shelf Distributions sets out requirements for a distribution under a short form prospectus using shelf procedures. National Instrument 44-103 Post-Receipt Pricing sets out requirements for a distribution under a prospectus using post-receipt pricing procedures.

The amendments increase the range of permissible pre-marketing and marketing activities in connection with prospectus offerings by issuers other than investment funds.

Policy Statement

Automobile Insurance Rate Stabilization Act, 2003

A Policy Statement of the Ontario Government

Purpose

This policy statement is issued by the Minister of Finance pursuant to Section 12 of the Financial Services Commission of Ontario Act, 1997 which provides that:

12. (1) The Minister may issue policy statements on matters related to this Act or any other Act that confers powers on or assigns duties to the Commission or the Superintendent.

When effective

(2) A policy statement takes effect on the day it is published in The Ontario Gazette.

Effect of statements

(3) The Commission, the Superintendent and the Tribunal shall have regard to the policy statements in making decisions.

Policy Statement

It is the policy of the Province of Ontario that:

  • Auto insurers must not be permitted to charge rates that do not comply with the relevant statutory standards set out in the Act;
  • Insurer cost savings from reform of the auto insurance system should be passed on to drivers; and
  • In view of the September 2010 auto insurance reforms, subsequent government actions and the government’s proposed cost and rate reduction strategy that have resulted in reduced costs to auto insurers, and are expected to continue to create cost savings in the auto insurance system, rates should be reduced by 15% on average.

In order to help achieve these cost savings, the Financial Services Commission of Ontario is requested to support the implementation of the government’s proposed cost and rate reduction strategy by:

  1. Submitting an interim report on the progress of the Minor Injury Treatment Protocol Project to the Ministry of Finance in early winter 2013-14;
  2. Ensuring that insurer rate filings include rates that reward safe drivers;
  3. Encouraging insurers to introduce discounts for safe driving habits, including the use of winter tires and USAge-based insurance policies which use emerging new technology to reward good drivers;
  4. Reviewing and reporting back on measures to reward safe drivers and treat first-time drivers fairly used in Ontario and other similar jurisdictions by winter 2013-14
  5. Continue to review ways to reduce the return on equity benchmark used in its rate approval process, and consider ways to make the benchmark more transparent to consumers.
  6. Ensuring that insurers are allocating costs fairly between rating territories;
  7. Ensuring that insurers are striving to control their own costs and fight fraud;
  8. Conducting further study of insurance industry compliance with the prohibition of credit scoring in auto insurance;
  9. Conducting further study of its practices in responding to insurer rate filings deemed by the Superintendent to be proposing inadequate rates; and
  10. Supporting the implementation of other elements of the government’s proposed cost and rate reduction strategy, such as further study on other potential cost reduction initiatives, as necessary.

In addition to steps taken to implement recommendations made by the Auto Insurance Anti-Fraud Task Force and legislative measures proposed in the 2013 Ontario Budget, the Ontario Ministry of Finance, in collaboration with its partner ministries, will take further action as part of the government’s proposed cost and rate reduction strategy. The Financial Services Commission of Ontario is requested to support the Ministry of Finance as it implements the following additional key elements of the proposed strategy:

  1. Transforming the dispute resolution system. The Ministry of Finance will:
    1. Establish a mandate for a dispute resolution review that would include examining the mandatory requirement for mediation; delivery options (government, private sector or both); and other issues related to the viability of the dispute resolution system.
    2. Appoint an expert to conduct the dispute resolution review and begin legislative amendments based on the expert’s recommendations in fall 2013.
  2. Basing auto insurance benefits on medical evidence. The Ministry of Finance will:
    1. Continue work to ensure that insurance regulations reflect the most relevant science on identifying and treating injuries from automobile accidents.
    2. Conduct further study and consultation on the definition of catastrophic impairment and report back with a proposed approach in fall 2013.
  3. Ensure transparency and accountability. The Ministry of Finance will:
    1. retain independent experts to report on progress made on the government’s cost and rate reduction strategy. They will:
      • Monitor how quickly savings are passed on to consumers
      • Report on effectiveness of the auto insurance marketplace in providing affordable premiums to consumers
  4. Conducting further study of other potential cost reduction initiatives, including:
    1. Provincial oversight of the towing industry;
    2. Addressing collision repair practices;
    3. The assessment of auto insurers to recover the cost of provincially funded health care services provided to individuals injured in accidents;
    4. The mandatory collision reporting threshold contained in regulations under the Highway Traffic Act;
    5. Preventing driving without insurance.
