Amendments To National Instrument 41-101 General Prospectus Requirements and to Companion Policy 41-101cp to National Instrument 41-101 General Prospectus Requirements and Related Consequential Amendments

On March 8, 2017, amendments to the following rules and form will come into force:

  • National Instrument 41-101 General Prospectus Requirements
  • Form 41-101F4 Information Required in an ETF Facts Document
  • National Instrument 81-106 Investment Fund Continuous Disclosure

except for:

  1. the filing requirement for ETF facts documents, which has an effective date of September 1, 2017, and
  2. the delivery requirement for ETF facts documents, which has an effective date of the later of:
    1. December 10, 2018, and
    2. the day on which sections 4, 14 and 17 of Schedule 28 to the Building Opportunity and Securing Our Future Act (Budget Measures), 2014 (Ontario) are proclaimed into force.

National Instrument 41-101 General Prospectus Requirements sets out general prospectus requirements, including prospectus disclosure requirements for exchange-traded mutual funds. Form 41-101F4 Information Required in an ETF Facts Document prescribes the form requirements for a new summary disclosure document called “ETF Facts”. National Instrument 81-106 sets out the continuous disclosure requirements for investment funds.

The amendments require exchange traded mutual funds to prepare and file an “ETF Facts” in connection with the filing of a prospectus. They also require dealers that receive an order to purchase exchange-traded mutual fund securities to deliver the ETF Facts to investors within two days of purchase.

Amendments To National Instrument 81-102 Investment Funds And related Consequential Amendments

On September 1, 2017, amendments to National Instrument 81-102 Investment Funds and the related consequential amendments to National Instrument 81-101 Mutual Fund Prospectus Disclosure will come into force. National Instrument 81-102 Investment Funds sets out the rules by which mutual funds must operate and National Instrument 81-101 Mutual Fund Prospectus Disclosure sets out the prospectus disclosure requirements for mutual funds.

The amendments require fund managers to use the CSA Mutual Fund Risk Classification Methodology to determine the investment risk level of conventional mutual funds and exchange-traded mutual funds in the fund facts document and ETF facts document, respectively.

Ontario Securities Commission Rule 13-502 Fees And ontario Securities Commission Rule 13-503 (commodity Futures Act) Fees

On March 1, 2017, amendments to Ontario Securities Commission Rule 13-502 Fees and Ontario Securities Commission Rule 13-503 Commodity Futures Act (Fees) became effective under the Securities Act.

The amendments delete a reference to daily noon foreign exchange rates posted on the Bank of Canada website, which are relevant when non-Canadian dollar amounts are used in calculating Ontario regulatory fees. Daily noon exchange rates are no longer being provided on the Bank of Canada website effective March 1, 2017.

The above captioned civil forfeiture proceeding commenced under the Civil Remedies Act has resulted in the sum of $330,819.10 being deposited into a special purpose account.

All individuals or other persons who have suffered pecuniary or non-pecuniary losses (money or non money damages) as a result of the unlawful activity that was the subject of the forfeiture proceeding are entitled to make a claim for compensation.

The Crown, a municipal corporation or a public body that is a member of one of the classes of public bodies prescribed in the regulation that suffered pecuniary losses as a result of the unlawful activity that are expenses incurred in remedying the effects of the unlawful activity are also entitled to make a claim for compensation.

The Crown, a municipal corporation or a public body that is a member of one of the classes of public bodies prescribed in the regulation that suffered pecuniary losses as a result of the unlawful activity that are expenses incurred in remedying the effects of the unlawful activity are also entitled to make a claim for compensation.

All claims must comply with section 6 of Ontario Regulation 498/06 or they will be denied. Regulation 498/06 may be found at: /laws/regulation/060498.

Minister to preside over Ministry

  1. The Minister of Seniors Affairs (the “Minister”) shall preside over a ministry known as the Ministry of Seniors Affairs (the “Ministry”).

  1. The Minister shall exercise the powers and perform the duties, functions and responsibilities that are assigned by law to the Minister or that may otherwise be assigned to or undertaken by the Minister in respect of seniors affairs as specified in this Order in Council, and any other matters related to the Minister’s portfolio.
  2. The Minister shall exercise the powers and perform the duties, functions and responsibilities that had been previously assigned and transferred to the Minister Responsible for Seniors Affairs under Order in Council O.C. 84/2014 dated January 15, 2014.

Ministry

  1. The Ministry shall carry out the functions, responsibilities and programs that are assigned by law to the Ministry or that may otherwise be assigned to or undertaken by the Ministry in respect of seniors affairs as specified in this Order in Council, and any other matters related to the Minister’s portfolio.

Administration of Statutes

  1. Despite any provision of a statute or Order in Council, the administration of the statutes set out in the Appendix to this Order in Council is assigned to the Minister.

Revocation of Order in Council

  1. Order in Council O.C. 84/2014 dated January 15, 2014, is hereby revoked.

therefore, pursuant to subsections 2(2), 5(1) and 8(1) of the Executive Council Act, despite any provision of a statute or Order in Council, the administration of each statute listed in Column 2 of Schedule 1 to this Order is hereby assigned to the Minister listed opposite that statute in Column 3 of the Schedule;
