Rules and Consequential Amendments Related to SEDAR+

On June 9, 2023, the following came into force under the Securities Act:

• amendments to Multilateral Instrument 13-102 System Fees;
• National Instrument 13-103 System for Electronic Data Analysis and Retrieval + (SEDAR+), which includes the repeal of NI 13-101 System for Electronic Document Analysis and Retrieval (SEDAR); and
• consequential amendments to the following rules:

  • National Instrument 41-101 General Prospectus Requirements;
  • National Instrument 43-101 Standards of Disclosure for Mineral Projects;

  • National Instrument 45-102 Resale of Securities;
  • National Instrument 45-106 Prospectus Exemptions;
  • Multilateral Instrument 45-108 Crowdfunding;
  • National Instrument 51-101 Standards of Disclosure for Oil and Gas Activities;
  • National Instrument 51-102 Continuous Disclosure Obligations;
  • National Instrument 52-112 Non-GAAP and Other Financial Measures Disclosure;
  • National Instrument 54-101 Communication with Beneficial Owners of Securities of a Reporting Issuer;
  • National Instrument 55-102 System for Electronic Disclosure by Insiders (SEDI);
  • National Instrument 55-104 Insider Reporting Requirements and Exemptions;
  • National Instrument 58-101 Disclosure of Corporate Governance Practices;
  • National Instrument 62-104 Take-Over Bids and Issuer Bids;
  • National Instrument 81-101 Mutual Fund Prospectus Disclosure; and
  • National Instrument 81-106 Investment Fund Continuous Disclosure.

OSC rule 44-502 extension to ontario instrument 44-501 certain prospectus requirements for well-known seasoned issuers

On July 4, 2023, OSC Rule 44-502 Extension to Ontario Instrument 44-501 Certain Prospectus Requirements for Well-Known Seasoned Issuers will come into force under the Securities Act.
