Amendments to National Instrument 81-101 Mutual Fund Prospectus Disclosure, National Instrument 81-102 Investment Funds, National Instrument 81-106 Investment Fund Continuous Disclosure, National Instrument 81-107 Independent Review Committee for Investment Funds and Changes to the Commentary in National Instrument 81-107 Independent Review Committee for Investment Funds

On April 22, 2026, amendments to the following rules will come into force:

  • National Instrument 81-101 Mutual Fund Prospectus Disclosure
  • National Instrument 81-102 Investment Funds
  • National Instrument 81-106 Investment Fund Continuous Disclosure
  • National Instrument 81-107 Independent Review Committee for Investment Funds.

National Instrument 81-101 Mutual Fund Prospectus Disclosure sets out the prospectus disclosure obligations for mutual funds. National Instrument 81-102 Investment Funds sets out the rules by which mutual funds must operate. National Instrument 81-106 Investment Fund Continuous Disclosure sets out the continuous disclosure requirements for investment funds. National Instrument 81-107 Independent Review Committee for Investment Funds sets out requirements for investment funds to have an independent review committee to review conflict of interest matters.

The amendments replace the overlapping statutory reporting requirements for related party transactions with a new standardized form. Consistent with International Financial Reporting Standards, the amendments also remove the requirement to prepare certain class or series-level disclosures in the Statement of Comprehensive Income, the Statement of Changes in Financial Position, and the notes to the financial statements.

Amendments to National Instrument 94-101 Mandatory Central Counterparty Clearing of Derivatives

On March 25, 2026, the amendments to National Instrument 94-101 Mandatory Central Counterparty Clearing of Derivatives (Amendments) will come into force under the Securities Act.

The purposes of the Amendments are to:

  1. ensure that the list of mandatory clearable derivatives in Appendix A reflects the global transition away from IBOR-based benchmarks to new risk-free rates (RFRs) and
  2. add a new class of products to the list of products mandated to be centrally cleared.
