National Instrument 52-112 Non-GAAP and Other Financial Measures Disclosure and Related Consequential Amendments to Multilateral Instrument 45-108 Crowdfunding

On August 25, 2021, the following will come into force under the Securities Act:

  • National Instrument 52-112 Non-GAAP and Other Financial Measures Disclosure (NI 52-112); and
  • consequential amendments to Multilateral Instrument 45-108 Crowdfunding (the Consequential Amendments).

The purpose of NI 52-112 and the Consequential Amendments is to implement a regime for the regulation of non-GAAP financial measures, non-GAAP ratios, and other financial measures (i.e., capital management measures, supplementary financial measures, and total of segments measures, as defined in NI 52-112).

On the recommendation of the undersigned, the Lieutenant Governor of Ontario, by and with the advice and concurrence of the Executive Council of Ontario, orders that:

  1. The Ministry shall carry out the functions, responsibilities and programs that are assigned by law to the Ministry or that may otherwise be assigned to or undertaken by the Ministry in respect of energy and any other matters related to the Minister’s portfolio.
  2. The Ministry shall carry out the functions, responsibilities and programs in respect of energy that had been previously assigned and transferred to the Ministry of Energy, Northern Development and Mines under Order in Council O.C. 1148/2018 dated October 22, 2018, as amended, and such functions, responsibilities and programs are assigned and transferred to the Ministry accordingly. These include but are not limited to the functions, responsibilities and programs of the Ministry of Energy under the Ministry of Energy Act, 2011.

Administration of statutes

  1. Despite any provision of a statute or Order in Council, the administration of the statutes set out in the Appendix to this Order in Council is assigned to the Minister.

Revocation of Orders in Council

  1. Order in Council O.C. 1148/2018 dated October 22, 2018, as amended, is hereby revoked.
