Minister’s Order
WHEREAS clause 8.2(1)(b) of the Safety and Consumer Statutes Administration Act, 1996 (the “SCSAA”) provides that the Minister of Public and Business Service Delivery and Procurement (the “Minister”) may, by order, establish rules about the nomination of board members, the appointment or election process, the length of their terms and whether they may be reappointed or re-elected;
AND WHEREAS the Real Estate Council of Ontario (“RECO”) is designated as the administrative authority for the purpose of administering the provisions of the Trust in Real Estate Services Act, 2002 (the “TRESA”) and the regulations made under that Act;
AND WHEREAS RECO is required to exercise its powers and perform its duties to protect, enhance and improve consumer protection and to comply with the principles of maintaining a fair, safe, and informed marketplace and promoting the protection of the public interest;
AND WHEREAS pursuant to a Minister’s Order issued under subsection 5.1(1) of the SCSAA on November 28, 2025, Jean Lépine has been appointed as the administrator for RECO (the “Administrator”) and has the exclusive right to exercise all the powers and perform all the duties of the board, officers, and members of RECO;
AND WHEREAS it is intended that the governance of RECO transition from the Administrator to a re-established board of directors at RECO (the “Board”);
AND WHEREAS pursuant to a Minister’s Order issued under subsection 8(5.1) of the SCSAA on April 29, 2026, the number of Board members will be decreased from nine to five members;
AND WHEREAS the Minister wishes to establish rules under clause 8.2(1)(b) of the SCSAA respecting the nomination, election, and the term of the Board members;
NOW THEREFORE pursuant to clause 8.2(1)(b) of the SCSAA I hereby make the following Order:
- The following rules are hereby established:
Nomination of Elected Board Members
- RECO shall ensure that the process for recruiting candidates for elected members of the Board is structured, skills-focused, and public.
- RECO shall ensure that the process for nominating the three candidates to be elected as members of the Board is conducted by an independent third-party.
- RECO shall ensure that the nominated candidates for elected members to the Board agree in writing that, if they are elected to the Board and hold office, they will not apply for registration under the TRESA during the one-year period following the day on which the candidate last ceased to hold office as a member of the Board.
Election of Board Members
- The Administrator, exercising the powers of the members of RECO, shall elect the three nominated candidates to the Board.
- The election described in clause 1(d) shall be held at RECO’s next annual meeting of members.
Term of Elected Board Members
- Notwithstanding clause 1(e) above, the elected Board members shall hold office on the day immediately after the date the Administrator’s appointment is terminated, or on December 1, 2026, whichever is earlier.
- This Order revokes and replaces the previous Order respecting RECO made under clause 8.2(1)(b) of the SCSAA on January 2, 2024.
- This Order comes into effect on the day it is made.
