Overview

Individuals or corporations who operate community surgical and diagnostics centres, licensed under the Integrated Community Health Services Centres Act, 2023 (ICHSCA), have legislative responsibilities related to ownership changes. A new document will now be required to establish ownership as part of certain processes.

Additional documentation required

For renewal applications, licence transfers, and the notification of share transfers, the ICHSC program area will now require licensees to provide a current Certificate of Status from the Ontario Business Registry as part of their applications. Current certificates would be those dated within 15 days of the date of submission to the ministry.

The following processes are impacted.

Licence renewal

Section 9(2) of the ICHSCA states that “[a] licensee may apply to the Director for the renewal of their licence.”

Renewal applications are sent 6 months prior to licence expiry by the ICHSC program area.

Licence transfer

Subsection 11(2) of the ICHSCA states that “[a] licensee may apply to the director for approval of the transfer of a licence”. Further, a licence is not transferable without the prior approval of the director (s. 11(1)).

A contravention of s. 11 constitutes an offence (s. 63).

Amalgamations, share transfers and changes in officers or directors

The ICHSCA sets out the duties of a corporate licensee to notify the director with respect to certain corporate changes. Section 27 addresses share transfers by licensees that are private companies. Section 28 addresses a corporate licensee’s required notification of changes in officers or directors and where there is a reasonable ground for belief that an event will occur whereby a person would acquire an interest or increase an interest affecting the control of the corporation. A contravention of s. 27 constitutes an offence (s. 63).
